Acti Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", or "User") and TypeX Limited and its affiliates, which provide Acti (referred to throughout as "Acti", "we", "us", or "our"). They govern your access to and use of the Acti mobile app (on iOS and Android), the Acti keyboard, openacti.com, and any related services Acti offers (collectively, the "Service").
By installing, enabling, or using Acti, you agree to these Terms and to the Acti Privacy Policy. If you do not agree, do not use Acti.
1. About Acti
Acti is an AI-powered keyboard and creator platform available on iOS and Android. The Service lets you:
- Type with a multilingual system keyboard.
- Create, edit, and run Skills — user-defined or community-shared AI workflows triggered from the keyboard or the host app.
- Connect third-party tools (e.g., Gmail, Slack, Notion) so a Skill can read or act on data in those services on your behalf.
- Publish Skills to the Skill Hub, follow other creators, and earn standing on creator leaderboards.
Some features depend on Credits, third-party large language models, and OAuth-based integrations described below.
2. Eligibility
You must be at least 13 years old (or the higher minimum age required in your jurisdiction) to use the Service. By using Acti, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using Acti on behalf of an organization, you represent that you have authority to bind that organization.
3. Your Account
3.1 Sign-in
You can create an Acti account using Sign in with Apple, Sign in with Google, or email + verification code. You are responsible for keeping your sign-in credentials and devices secure.
3.2 Profile
Your profile (display name, avatar, bio, UID, follower/following relationships) is created and managed within Acti. Some profile fields are visible to other users.
3.3 Genesis Program
Genesis Acti is an early-access program limited to a fixed number of seats and unlocked via an activation code. Genesis status grants additional benefits (such as elevated AI usage). Activation codes are non-transferable, may not be sold, and may be revoked for fraud or abuse.
3.4 Account Deletion
You may delete your account at any time from Account Information → Delete Account. Deletion removes your profile, your private Skills, your bindings, your follower graph, and other account-scoped data, subject to the retention rules in our Privacy Policy. Some content you have published (such as public Skills others have already cloned) may persist in derivative form after deletion.
3.5 How We Communicate With You
By creating an Acti account, you agree that Acti may send you:
- Service messages (always on) — sign-in verification codes, security alerts, account recovery, Skill review status, Connected Tool authorization status, and other operational notices that are necessary to provide the Service.
- Product messages (you can opt out) — feature announcements, creator newsletters, surveys, and tips for getting more out of Acti.
You can opt out of product messages from Profile → Account Information (or by following the unsubscribe link in any product email). Service messages will continue while your account exists.
4. License to Use Acti
Subject to your compliance with these Terms, Acti grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download and use Acti on mobile devices that you own or control, solely for your own internal, non-commercial use of the Service.
You will not (and will not allow any third party to):
- copy, modify, translate, or create derivative works of the Service;
- reverse engineer, decompile, or attempt to extract source code, model weights, or prompts;
- circumvent any access control, rate limit, or Credits enforcement;
- resell, sublicense, rent, lease, or otherwise commercially exploit the Service;
- use the Service to build a competing product or to train a competing AI model;
- access the Service through any non-official client, automation, or scraper.
5. Keyboard Network Access
To run AI Skills, the Acti keyboard needs to communicate with Acti's services. The way you grant this access depends on your operating system:
- iOS — Apple requires you to enable "Allow Full Access" in your iOS keyboard settings before the Acti keyboard can use the network.
- Android — When you enable Acti as an input method, the system will display a one-time warning about the level of access enabled keyboards can have. By enabling Acti, you allow the keyboard to communicate with Acti's services.
Regardless of platform, Acti does not collect, store, or transmit the content you type unless you explicitly trigger a Skill that needs that content as its input. See the Acti Privacy Policy for the complete description of what data is sent and when.
6. User Content and Skills
6.1 What is "Your Content"
"Your Content" means anything you submit to or create on the Service, including: Skill names, icons, descriptions, instructions, hashtags, workflow graphs, prompts, builder chat messages, profile bio, any profile avatar you upload or select, and any text you provide as runtime input to a Skill.
6.2 You retain ownership
You retain all ownership rights you have in Your Content.
6.3 License to Acti
By submitting Your Content, you grant Acti a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, transmit, process, modify (e.g., for formatting, indexing, language detection), display, and otherwise use Your Content to operate, provide, secure, improve, and promote the Service. This license terminates when you delete Your Content, except for: (a) backups retained for a reasonable period, (b) anonymized or aggregated data, and (c) Your Content that other users have already cloned, shared, or relied on in good faith.
6.4 Public Skills
When you publish a Skill as public, you additionally grant other Acti users a worldwide, non-exclusive, royalty-free license to install, run, and clone that Skill into their private library. Cloned Skills become independent copies that the cloner may further modify, subject to these Terms and our community guidelines. You may unpublish a public Skill, but copies that have already been cloned will remain in the cloners' libraries.
6.5 Public Skill review
Public Skills go through a review process before listing. Acti may decline, delist, or remove any public Skill that violates these Terms, our community guidelines, applicable law, or the rights of others. Review is not an endorsement and does not guarantee that a Skill is safe, accurate, or fit for any purpose.
6.6 Your responsibilities for Your Content
You represent and warrant that:
- You own or have all necessary rights to Your Content and to grant the licenses above.
- Your Content does not infringe or violate any third party's rights (intellectual property, privacy, publicity, contract, or otherwise).
- Your Content complies with all applicable laws and with these Terms.
6.7 Community Conduct
When you participate in the Acti community (publishing Skills, building a profile, gaining followers, appearing on creator leaderboards), you additionally agree that you will not:
- impersonate another person, brand, or organization, or misrepresent your affiliation with anyone;
- create or operate multiple accounts to inflate downloads, follower counts, leaderboard rank, Credits, or any other metric;
- buy, sell, trade, gift, or otherwise transfer Acti accounts, Genesis activation codes, follower relationships, or Skill rankings;
- post fake reviews, comments, ratings, or reports;
- coordinate with others to mass-report or mass-clone Skills in bad faith;
- use the community surface to advertise unrelated products or services without our prior written consent;
- scrape profile, follower, or Skill data from the Skill Hub.
Acti may remove content, reset metrics, demote rankings, withhold Genesis benefits, or terminate accounts that violate this section.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Build, publish, or run Skills that generate or facilitate: child sexual abuse material; non-consensual intimate imagery; targeted harassment; threats of violence; instructions for weapons of mass destruction; mass surveillance; spam, phishing, or malware; election or voter manipulation; or unauthorized practice of regulated professions (e.g., medical, legal, or financial advice presented as authoritative).
- Probe, scan, attack, or impair the integrity of the Service or its infrastructure.
- Attempt to access another user's account, Credits, Skills, or connected tools without authorization.
- Misrepresent that AI-generated output was produced by a human, where such misrepresentation is illegal or violates the rules of a third-party platform.
- Use the Service in a way that exceeds the rate limits, Credits, or fair-use thresholds we set, or that imposes a disproportionate burden on the Service.
Acti may investigate, suspend, or terminate accounts and remove Skills for violations.
8. Reporting
If you believe a Skill or another user's content violates these Terms, you can report it from the Skill detail screen ("… → Report"). Reports are reviewed by the Acti team. Acti is not obligated to act on every report, but will review reports in good faith.
9. Credits (Free-Tier Usage Quota)
Acti is free to use. Acti does not sell subscriptions, in-app purchases, paid plans, or paid Credits, and does not accept payment from you for the Service.
Some AI features are governed by an internal usage quota called Credits:
- Credits exist to keep the Service stable and to prevent abuse. They control how many AI-powered Skill runs each account can make in a given period.
- Credits are not money, not currency, not property, have no monetary value, and cannot be purchased, redeemed, refunded, transferred, gifted, sold, or exchanged for anything of value.
- Free users receive a Credits allowance subject to daily and rolling limits. Genesis Acti users (Section 3.3) may receive an elevated or unmetered allowance as part of the Genesis program.
- Acti may adjust, replenish, reset, suspend, expire, reduce, or revoke Credits at any time, including in response to abuse, in connection with material changes to the Service, or to manage infrastructure costs. Acti will use reasonable judgment so that ordinary good-faith use is not unfairly penalized.
- Because Credits are free, no refund is owed to you in any circumstance related to Credits, AI output, downtime, Skill failure, third-party tool failure, or termination.
If Acti ever introduces paid features in the future, additional terms (including Apple's standard EULA, Google Play's payment terms, and applicable refund rules) will apply at the point of purchase. Until then, the Service is provided to you at no charge.
10. Third-Party Services and Connected Tools
10.1 Third-party services that power the Service
The Service relies on third parties to function. These include, without limitation, sign-in providers, analytics and diagnostics providers, authorization providers, and third-party large language model providers ("AI Providers"). Your use of those services through Acti is also governed by their respective terms and privacy policies. Acti is not responsible for the acts, omissions, availability, security, pricing, or policies of any third party.
10.2 Connected Tools (OAuth-based integrations)
You may grant Acti access to third-party services such as Gmail, Slack, or Notion ("Connected Tools") so that a Skill can read or act on data in those services on your behalf. By connecting a Connected Tool, you make the following representations and agree to the following conditions.
10.2.1 The authorization is yours, not ours
- The OAuth flow is run by the third party itself. The third party — not Acti — decides what scopes are available, how consent is presented, and whether to grant access.
- The scope of access (e.g., "read your inbox", "send mail on your behalf") is defined by what you select on the third party's authorization page. Acti cannot expand that scope after the fact.
- You represent that you have the right to authorize Acti to access the third-party account you are connecting (for example, you may not connect a corporate Gmail account in violation of your employer's policies).
10.2.2 What Acti will and will not do with that authorization
- Acti will call a Connected Tool only when you explicitly trigger a Skill that needs that tool, and only for the actions and data the Skill is configured to perform. Acti does not silently mine, mirror, sync, or back up the contents of your Connected Tool accounts.
- Acti does not use data retrieved from your Connected Tools to train any AI model or to enrich any other user's experience.
- Acti does not display data retrieved from your Connected Tools to any other user.
- Acti does not sell or rent data retrieved from your Connected Tools.
10.2.3 You are responsible for what your Skills do
A Skill that uses a Connected Tool acts under your authorization. You are responsible for:
- the actions a Skill takes on your behalf (e.g., sending an email, creating a document, posting a message);
- complying with the Connected Tool's own terms of service, acceptable-use policy, anti-spam rules, rate limits, and data-handling rules (for example, Google Workspace API policies, Slack's API ToS, Notion's API terms);
- any contractual or legal obligations you owe to third parties whose data passes through your Skill (employer policies, contractor NDAs, GDPR controller obligations, etc.); and
- reviewing AI output before it is sent or saved to a Connected Tool — AI is probabilistic and may misinterpret intent.
10.2.4 Prohibited uses of Connected Tools through Acti
You will not use Acti's Connected Tools to:
- send unsolicited bulk messages, spam, phishing, scams, or harassing content through any Connected Tool;
- access, modify, or delete data belonging to people other than you without their authorization;
- harvest, scrape, or systematically download data from a Connected Tool in violation of that tool's terms;
- use a Connected Tool integration to circumvent rate limits, MFA, or other access controls of the third party;
- resell or redistribute data extracted from a Connected Tool;
- automate any action that violates the third party's terms (for example, mass-following on social platforms or sending commercial mail without consent).
Acti reserves the right to suspend Connected Tool access — for one Skill, for one account, or globally — if Acti believes in good faith that it is being used in violation of these Terms or of a Connected Tool's own terms.
10.2.5 Community Skills and Connected Tools
Public Skills published by other users (Section 6.4) may declare that they need certain Connected Tools. Before you authorize a Connected Tool to satisfy a community Skill's requirement, you should review the requested permissions and the Skill's behavior. Cloning a community Skill does not transfer the original author's Connected Tool access to you — the access runs entirely under your own account and your own authorization. If you do not trust a community Skill, do not run it.
10.2.6 Revoking access
You can revoke Acti's access to a Connected Tool at any time by:
- using Profile → Connected Tools → Disconnect in Acti, and/or
- removing Acti from the third party's own account settings (for example, your Google Account → Security → Third-party access; Slack → Settings → Connected Apps).
After revocation, Acti will no longer be able to call that Connected Tool until you re-authorize. Revocation does not undo actions already performed under the prior authorization.
10.2.7 No agency, no warranty for third parties
Acti is not the agent of any Connected Tool, AI Provider, or other third party, and no third party is the agent of Acti. Acti makes no warranty that any Connected Tool or AI Provider will be available, secure, accurate, free of defects, or fit for your purpose, and Acti is not liable to you for any third party's outage, change of API, change of policy, account suspension, deletion of your data on their side, or denial of service.
11. AI Output Disclaimer
Skills use generative AI. AI output is probabilistic and may be incorrect, incomplete, biased, offensive, out of date, or otherwise unsuitable. You are responsible for reviewing AI output before sending, publishing, or relying on it, and for confirming that the output is appropriate for your context. Do not use Acti as the sole basis for medical, legal, financial, or other professional decisions.
When a Skill uses a Connected Tool, the AI may also choose what action to take within that tool (for example, which email to draft, which document to update). The same probabilistic limitations apply to those actions: the AI may misread your intent, choose the wrong recipient, or include incorrect content. Always review AI-suggested actions before they are sent or saved to a Connected Tool, especially for irreversible operations (sending a message, deleting a record, sharing a file).
11.1 Beta and Experimental Features
Acti may label certain features as "beta", "experimental", "early access", or similar. These features are provided to gather feedback and iterate quickly. They may:
- be incomplete or unstable;
- change, be replaced, or be removed at any time without notice;
- not be subject to the same support or service-level commitments (if any) as generally available features;
- carry additional risks (for example, an experimental Skill type may misinterpret inputs more often than a stable one).
Use of beta features is voluntary and at your own risk. Feedback you share about a beta feature is governed by Section 12 (Intellectual Property).
12. Intellectual Property
The Service, including the Acti app, the Acti brand, the keyboard engine, the Skill Hub, the Builder, default templates, documentation, and all related software and content (other than Your Content), is owned by Acti or its licensors and is protected by intellectual property and other laws. Except for the limited license in Section 4, no rights are granted to you.
If you submit feedback, ideas, or suggestions about the Service, you grant Acti a perpetual, irrevocable, royalty-free license to use them without obligation to you.
13. Copyright Complaints
If you believe content on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c)(3) (DMCA) to legal@openacti.com. Acti responds to valid notices and may, in appropriate circumstances, terminate the accounts of repeat infringers.
14. Termination
You may stop using the Service at any time, uninstall Acti, or delete your account. Acti may suspend or terminate your access to the Service (in whole or in part), with or without notice, if you violate these Terms, if continued provision is no longer commercially viable, if required by law, or to protect the Service or other users.
Sections that by their nature should survive termination — including Sections 6.3 (license to Acti), 9 (no refunds), 11 (AI disclaimer), 12 (IP), 15 (warranty disclaimer), 16 (limitation of liability), 17 (indemnity), 18 (governing law), and 19 (general) — survive termination.
14.1 Modifications to the Service
The Service is evolving. Acti may add, change, suspend, deprecate, limit, or discontinue any feature, Skill type, Connected Tool, AI Provider, default template, layout, or other component of the Service at any time, with or without notice. Where a change materially reduces functionality you actively rely on, Acti will use reasonable efforts to provide advance notice in the app.
Acti may also impose or change limits on Skill execution frequency, Credits, content size, file uploads, request rates, and similar quotas, including for individual accounts, in order to maintain the Service's stability or to prevent abuse.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. ACTI DOES NOT WARRANT THAT ANY SKILL OR AI OUTPUT WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ACTI, TYPEX GROUP ENTITIES, THEIR AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR (B) ANY LOSS OF PROFITS, REVENUES, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ACTI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACTI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (I) USD $50 OR (II) THE AMOUNTS YOU PAID ACTI FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Without limiting the foregoing, Acti is not liable for any loss arising from: (i) your authorization of any Connected Tool, (ii) actions taken by a Skill within a Connected Tool under your authorization, (iii) any third party's modification or termination of its API, terms, or service availability, or (iv) any decision a third party makes about your account on its platform.
Some jurisdictions do not allow certain disclaimers or limitations; in those jurisdictions, Acti's liability is limited to the smallest extent permitted by law.
17. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Acti, TypeX group entities, and their affiliates from any claim, loss, liability, demand, or expense (including reasonable attorneys' fees) arising out of: (a) Your Content; (b) your use of the Service in breach of these Terms; (c) your violation of any law or third-party right; or (d) any Skill you publish.
18. General
- Changes to Terms. Acti may update these Terms from time to time. If a change is material, Acti will provide reasonable notice (e.g., in-app notice or update prompt). Continued use of the Service after the update means you accept the updated Terms.
- Entire agreement. These Terms (together with the Privacy Policy and any policies referenced from them) are the entire agreement between you and Acti regarding the Service.
- Assignment. You may not assign these Terms without our prior written consent. Acti may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- Severability. If any part of these Terms is held unenforceable, the rest remains in effect.
- No waiver. Acti's failure to enforce a right is not a waiver of that right.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
- Export and sanctions. You may not use, export, re-export, or transfer the Service in violation of any applicable export-control or sanctions law, including those of Singapore, the United States, the European Union, the United Kingdom, and your country of residence. You represent that you are not on any list of restricted or denied parties maintained by those authorities.
- No third-party beneficiaries. Except for Apple under Section 19A, Google under Section 19B, and our affiliates, these Terms do not create any third-party beneficiary rights.
- Headings. Section headings are for convenience and do not affect interpretation.
- Notices to you. Acti may give you notice through the Service (in-app banners, in-app messages, or email to your account address). You consent to receiving notices electronically.
- Notices to us. Send legal notices to legal@openacti.com.
- Platform-specific terms. If you obtained Acti through the Apple App Store, the additional terms in Section 19A apply. If you obtained Acti through the Google Play Store, the additional terms in Section 19B apply.
19A. Additional Terms for the Apple App Store
If you obtained Acti through the Apple App Store, you acknowledge:
- These Terms are between you and Acti only, and not with Apple. Apple is not responsible for Acti or its content.
- Your license to use Acti is limited to use on Apple-branded products that you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to provide maintenance or support for Acti. Any maintenance or support is the sole responsibility of Acti.
- In the event of any failure of Acti to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for Acti to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Acti.
- Acti, not Apple, is responsible for addressing any claims by you or any third party relating to Acti or your possession or use of Acti, including product-liability claims, claims that Acti fails to conform to any legal or regulatory requirement, and claims arising under consumer-protection or similar legislation.
- In the event of any third-party claim that Acti or your use of it infringes that third party's intellectual property rights, Acti, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of such claim.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
19B. Additional Terms for the Google Play Store
If you obtained Acti through the Google Play Store, you acknowledge:
- Your access to and use of Acti is also subject to the Google Play Terms of Service and any other applicable Google Play policies. These Terms are between you and Acti only, and not with Google. Google is not a party to these Terms and is not responsible for Acti or its content.
- Google has no obligation to provide maintenance or support for Acti. Any maintenance or support for Acti is the sole responsibility of Acti.
- Acti, not Google, is solely responsible for addressing any claims by you or any third party relating to Acti or your possession or use of Acti, including product-liability claims, claims that Acti fails to conform to any legal or regulatory requirement, claims arising under consumer-protection or similar legislation, and claims that Acti infringes any third party's intellectual property rights.
- To the extent Acti contains any open-source software components, those components are governed by their own license terms, and Google has no obligation or responsibility with respect to those components.
- You represent that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.
- If you are using a Google Account managed by an organization (for example, an employer or school), additional restrictions imposed by that organization may apply.
